Waiver & Release of Liability

Please read the following waiver carefully before signing.

1. Acknowledgment and Assumption of Risk

I acknowledge that participating in the Friday Night Fights event at Thunder Studios ("Event") involves certain inherent risks, including but not limited to bodily injury, illness, permanent disability, property damage, emotional distress, or death. These risks may arise from, among other things, participation in:

• Fitness demonstrations
• Use of punching bags
• Exercise activities involving resistance bands, weights, or other fitness equipment
• Interactive installations
• Crowds or congested areas
• Environmental or physical conditions at the venue

I understand that this also includes participation in cold plunge activities, including hand immersion and optional full-body entry, which may involve exposure to extreme cold, cardiovascular strain, or other adverse physical reactions.

I voluntarily and knowingly assume all such risks, whether known or unknown, and accept full responsibility for my participation in any and all Event activities.

2. Release and Waiver of Liability

To the fullest extent permitted by California law, I hereby release, waive, discharge, and hold harmless: Dialed Labs, LLC, Organic Consumer Innovations, Inc., a Wyoming corporation authorized to do business in the State of California, doing business as "Dialed Moods" and their respective affiliates, officers, directors, shareholders, members, managers, employees, agents, contractors, representatives, successors, and assigns, along with all Event organizers, sponsors, vendors, exhibitors, volunteers, and venue operators (collectively, the "Released Parties"), from any and all claims, demands, actions, or causes of action of any kind arising out of or related to any injury (including death), illness, property damage, or other loss suffered while attending or participating in the Event, whether caused by the negligence of the Released Parties or otherwise.

3. Property Damage Responsibility

I agree to be personally responsible for any damage I cause to the venue, equipment, furnishings, or any other property, and to promptly reimburse the appropriate party for the cost of repair or replacement.

4. Medical Treatment Consent

In the event of a medical emergency, I authorize the provision of medical treatment and transportation as deemed necessary and understand that I am solely responsible for all related expenses. I acknowledge that no medical personnel may be on-site and I participate at my own risk.

5. Indemnification

I agree to indemnify, defend, and hold harmless the Released Parties from and against any and all claims, damages, liabilities, losses, and expenses (including attorneys fees) arising from or related to my participation in the Event or my actions that result in injury or damage to others or to property.

6. Governing Law and Severability

This Waiver shall be governed by and construed in accordance with the laws of the State of California. If any provision of this agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

This Media Release and Consent Agreement ("Agreement") is entered into by the undersigned individual ("Participant") in favor of Dialed Labs, LLC, Organic Consumer Innovations, Inc., a Wyoming corporation authorized to do business in the State of California, doing business as "Dialed Moods", and each of their respective officers, directors, employees, contractors, licensees, legal representatives, affiliates, successors, and assigns (collectively, the "Released Parties").

1. Consent to Use of Image and Likeness

By signing this Agreement, Participant grants the Released Parties the irrevocable, worldwide, perpetual, royalty-free, and unrestricted right to:

• Photograph, record, film, or otherwise capture Participant's image, likeness, voice, statements, and performance during the Event ("Media"); and
• Use, reproduce, display, distribute, edit, publish, and create derivative works from the Media, in whole or in part, in any and all formats or media now known or later developed (including but not limited to social media platforms, websites, advertisements, promotional materials, and press releases), for any lawful commercial, promotional, editorial, or educational purpose.

2. Waiver of Rights

Participant waives any right to inspect or approve the final use of the Media or any accompanying materials. Participant understands and agrees that no compensation, royalty, or further consideration will be provided for the use of the Media.

3. No Obligation to Use

Participant acknowledges that the Released Parties are under no obligation to make use of the rights granted herein.

4. Release of Liability

To the fullest extent permitted under California law, Participant releases and discharges the Released Parties from any and all claims, demands, and causes of action arising out of or related to the use of the Media, including but not limited to claims for invasion of privacy, misappropriation of likeness, defamation, or any other claim under California Civil Code 3344 or similar statutes.

5. Voluntary Participation

Participant affirms that they are participating voluntarily and are not under duress or coercion. Participant further affirms that they are at least 18 years of age and have full legal capacity to enter into this Agreement.
